Welcome to Nandaki AI. These Terms of Service ("Terms") govern your access to and use of the Nandaki AI platform, including our website, desktop application, and related services (collectively, the "Services") provided by Nandaki AI ("Nandaki," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. Please read these Terms carefully before using our Services.
Important: These Terms contain an arbitration agreement and class action waiver that affect your legal rights. Please review Sections 14 and 15 carefully.

1. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under applicable laws
- Not have been previously suspended or removed from the Services
By using our Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Account Registration
2.1 Account Creation
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
2.3 One Account Per User
Each user may maintain only one account. You may not share your account with others or allow others to access your account. Account sharing may result in immediate termination.
3. Service Description
Nandaki AI provides an AI-powered interview assistance platform that includes:
- Desktop Application: Software that captures audio from video conferencing platforms and provides real-time AI-generated answer suggestions
- Web Platform: Account management, payment processing, interview history, and analytics
- AI Services: Real-time speech-to-text transcription and AI-powered response generation
3.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to our Services. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
3.2 Credits System
Access to interview sessions requires credits. Credits are consumed when you start an interview session. Unused credits do not expire as long as your account remains active. Credits are non-transferable between accounts.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
4.1 Prohibited Activities
- Use the Services for any illegal purpose or in violation of any laws
- Misrepresent AI-generated answers as your own original thoughts in contexts where such disclosure is required
- Use the Services to deceive employers in ways that constitute fraud
- Share, resell, or redistribute your account access or credits to third parties
- Attempt to reverse engineer, decompile, or disassemble any part of the Services
- Circumvent, disable, or interfere with security features of the Services
- Use automated systems (bots, scrapers) to access the Services without permission
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Upload malicious code, viruses, or harmful content
- Harass, abuse, or harm other users or our staff
- Use the Services from countries subject to trade sanctions or embargoes
4.2 Fair Use
Our Services are intended for individual interview assistance. Excessive or abusive use that impacts service quality for other users may result in rate limiting or account suspension.
4.3 User Responsibility
Important: You are solely responsible for how you use AI-generated suggestions during interviews. Nandaki AI provides assistance tools, but you remain responsible for your interview performance, the accuracy of your responses, and compliance with any employer policies or legal requirements regarding interview assistance tools.
5. Payment and Subscription Terms
5.1 Pricing
Current pricing for credits and subscription plans is displayed on our website. All prices are in Indian Rupees (INR) unless otherwise specified. We reserve the right to change pricing at any time with reasonable notice.
5.2 Payment Processing
Payments are processed securely through Stripe. By making a purchase, you authorize us to charge your payment method for the total amount. You represent that you have the legal right to use the payment method provided.
5.3 Refund Policy
All purchases are generally non-refundable. However, we may consider refund requests on a case-by-case basis if:
- The Services were unavailable due to technical issues on our end
- You were charged in error
- You request a refund within 7 days of purchase and have not used any credits

5.4 Taxes
Prices may be exclusive of applicable taxes. You are responsible for paying any taxes associated with your purchases, except for taxes based on our net income.
6. Intellectual Property
6.1 Our Intellectual Property
The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by Nandaki AI or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial interview preparation purposes, subject to these Terms.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Services without any obligation to you.
7. User Content and Data
7.1 Your Content
You retain ownership of any content you upload or submit to our Services, including resumes, profile information, and interview recordings ("User Content"). By using our Services, you grant us a limited license to use, process, and store your User Content solely for the purpose of providing and improving our Services.
7.2 Content Responsibility
You are solely responsible for your User Content and represent that you have all necessary rights to submit such content. You agree not to submit content that infringes on third-party rights, contains malware, or violates any laws.
7.3 Data Usage
We do not sell your personal data. We do not use your audio recordings or interview content to train AI models without your explicit consent. For more information about how we handle your data, please refer to our Privacy Policy.
8. AI-Generated Content Disclaimer
Please read this section carefully as it contains important limitations regarding AI-generated content.
8.1 Nature of AI Responses
Our Services use artificial intelligence to generate suggested answers to interview questions. These AI-generated responses are:
- Suggestions only, not definitive answers
- Generated based on general knowledge and patterns, not guaranteed to be accurate
- Not a substitute for your own knowledge, skills, and preparation
- Potentially subject to errors, inaccuracies, or outdated information
8.2 No Guarantee of Results
We do not guarantee that using our Services will result in successful interviews, job offers, or any particular outcome. Interview success depends on many factors beyond AI assistance, including your qualifications, experience, communication skills, and the specific requirements of the position.
8.3 Your Responsibility
You are responsible for:
- Reviewing and verifying AI-generated suggestions before using them
- Adapting suggestions to your own voice and experience
- Ensuring the accuracy of any information you provide during interviews
- Complying with any employer policies regarding interview assistance
- Understanding that reliance on AI suggestions is at your own risk
9. Third-Party Services
Our Services integrate with third-party services including:
- AssemblyAI: For speech-to-text transcription
- Anthropic (Claude): For AI response generation
- Stripe: For payment processing
- Video Conferencing Platforms: Google Meet, Zoom, Microsoft Teams (for audio capture)
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.
10. Disclaimers
THE FOLLOWING DISCLAIMERS ARE IMPORTANT - PLEASE READ CAREFULLY:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED CONTENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANDAKI AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or goodwill
- Service interruption or computer damage
- Failure to obtain employment or job offers
- Any damages arising from AI-generated content
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nandaki AI and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
- Your conduct during interviews using our Services
13. Termination
13.1 Termination by You
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at [email protected]. Upon termination, your right to use the Services will immediately cease.
13.2 Termination by Us
We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include:
- Violation of these Terms or our Acceptable Use Policy
- Fraudulent, abusive, or illegal activity
- Non-payment of fees
- Extended periods of inactivity
- Requests by law enforcement or government agencies
- Discontinuation of the Services
13.3 Effect of Termination
Upon termination:
- Your license to use the Services terminates immediately
- Unused credits are forfeited and non-refundable
- We may delete your account data within 30 days
- Provisions that by their nature should survive termination will survive
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
14.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 60 days.
14.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute arising from these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
14.3 Class Action Waiver
YOU AND NANDAKI AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.4 Opt-Out
You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
16. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nandaki AI regarding the Services and supersede all prior agreements.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
